1. Agreement to these terms

These Terms of Use ("Terms") form a binding agreement between you and Ashirwad Novelties Wholesale LLC, a limited liability company operating from 601 E. Ash Lane, Apt. 2203, Euless, TX 76039, USA, governing your access to and use of the website melyaschool.com ("the Site").

By browsing the Site or submitting an inquiry through it, you confirm that you have read, understood and accepted these Terms. If you do not accept them, please do not use the Site.

2. Nature of this website

The Site exists to present our wholesale range to trade buyers and to let them start a conversation with us. All commercial transactions are concluded separately and directly — by email, telephone or written agreement — following a quotation issued by us.

Submitting the inquiry form creates no contract, reserves no stock and commits neither party to anything. It is a request for information.

3. Who may use the Site

The Site is intended for business-to-business use by trade buyers: retailers, wholesalers, distributors, corporate purchasers and similar commercial parties. By submitting an inquiry you represent that:

• you are acting on behalf of a business, and are authorised to do so;

• you intend to purchase for resale or commercial use, not as a consumer.

We do not sell single items to members of the public and reserve the right to decline any inquiry at our discretion.

4. Product information and images

We describe our products as accurately as we reasonably can, but the catalogue on this Site is illustrative rather than contractual. Specifically:

• Colours vary between screens, and printed or woven colour may differ slightly from the photographs shown;
• Dimensions, page counts and material compositions are nominal and subject to normal manufacturing tolerance;
• Products are made in limited runs and designs may be revised, substituted or discontinued without notice;
• Availability shown on this Site is indicative only — current stock is confirmed in writing at the time of quotation;
• Staged photographs may include props that are not part of the product supplied.

Where exact specification matters to you, request a physical sample before ordering. The specification confirmed in our written quotation governs, not this Site.

5. Pricing, quotations and orders

No prices are published on this Site. Wholesale pricing is quoted individually, because it depends on quantity, product mix, destination and lead time.

• A quotation is valid for 14 calendar days from its date unless it states otherwise;
• Prices are quoted in US dollars, exclusive of sales tax, duties and freight unless stated;
• An order exists only once we issue a written order confirmation or invoice and you accept it;
• Minimum order quantities, case-pack sizes, lead times and payment terms are those stated in the quotation;
• Any terms printed on your purchase order that conflict with our confirmation have no effect unless we agree to them in writing.

6. Acceptable use

You agree not to:

• use the Site for any unlawful purpose or in breach of these Terms;
• submit false, misleading or fraudulent information through the inquiry form;
• send automated, bulk or repetitive submissions, or use the form to distribute spam;
• attempt to gain unauthorised access to the Site, its server or any connected system;
• probe, scan or test the vulnerability of the Site, or circumvent any security measure;
• introduce viruses, malware or any other harmful code;
• scrape, harvest, mirror or systematically copy the Site or its contents;
• use the Site's contact details to send unsolicited commercial communications to us;

We may restrict or block access to the Site from any address that breaches this section, without notice.

Our product designs are licensed from named independent illustrators. Reproducing, adapting or manufacturing goods bearing those designs without a licence infringes their rights as well as ours.

You may:

• view the Site and print pages for your own internal business evaluation;
• share a link to any page of the Site.

You may not, without our prior written permission:

• copy, republish or redistribute any part of the Site;
• use our product photographs in your own catalogue, listings or advertising before you are an authorised stockist;
• use our name, logo or trademarks in a way that suggests endorsement or partnership;
• create derivative works from any design shown here.

Authorised stockists receive a separate written licence covering the use of our imagery for resale purposes. Ask us — we grant it readily to customers who are actually carrying the line.

10. Availability of the Site

We aim to keep the Site available and current, but we do not guarantee uninterrupted access. We may suspend, withdraw, restrict or change all or part of the Site — including the range of products displayed — at any time and without notice, for maintenance, commercial or any other reason.

12. Limitation of liability

To the fullest extent permitted by applicable law, Ashirwad Novelties Wholesale LLC, its members, officers, employees and agents shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profit, revenue, business, goodwill, data or anticipated savings, arising out of or in connection with your use of — or inability to use — this Site, whether based in contract, tort, negligence, strict liability or otherwise, even if we have been advised of the possibility of such damages.

Because this Site is an informational trade catalogue, nothing is sold and no payment is taken through it, so your use of the Site by itself gives rise to no monetary liability on our part. Where a claim relates to goods we have actually supplied, our total aggregate liability is limited to the net invoice value of the specific order that the claim arises from.

Any claim must be brought within twelve months of the event giving rise to it. This limitation reflects the allocation of risk between two commercial parties and is a basis on which we set our wholesale prices.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

13. Indemnity

You agree to indemnify and hold harmless Ashirwad Novelties Wholesale LLC and its members, officers, employees and agents from any claim, demand, loss, liability, cost or expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Site, or your violation of any law or third-party right.

14. Governing law and disputes

These Terms are governed by the laws of the State of Texas and the federal laws of the United States, without regard to conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Tarrant County, Texas, and you consent to the personal jurisdiction of those courts.

Before commencing proceedings, both parties agree to attempt in good faith to resolve the dispute by writing to the contact address below and allowing 30 days for a response.

15. General provisions

• Entire agreement — these Terms, together with the Privacy Policy, Cookie Policy and Disclaimer, are the whole agreement between us regarding the Site.
• Severability — if any provision is held unenforceable, the remainder continues in full force.
• No waiver — our failure to enforce a provision is not a waiver of our right to do so later.
• Assignment — you may not assign your rights under these Terms; we may assign ours to a successor of our business.
• Changes — we may revise these Terms at any time. The version published here at the moment you use the Site is the one that applies.
• No agency — nothing here creates a partnership, joint venture, franchise or employment relationship between us.
